Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 20, 2022, Peter Faricy notified Blue Apron Holdings, Inc. (the “Company”) of his decision to resign from the Company’s Board of Directors (the “Board”), effective October 15, 2022. Mr. Faricy will also resign as a member of the Company’s Nominating and Corporate Governance Committee. His resignation is not the result of any dispute or disagreement with the Company, the Company’s management or the Board on any matter relating to the operations, policies or practices of the Company.
