The F-10 Registrants undertake
to make available, in person or by telephone, representatives to respond to inquiries made by the U.S. Securities and Exchange Commission
(the “Commission”) staff, and to furnish promptly, when requested to do so by the Commission staff, information relating
to the securities registered pursuant to this Form F-10 or to transactions in said securities.

Concurrently with the filing
of this Registration Statement on Form F-10, each F-10 Registrant will file with the Commission a written irrevocable consent and
power of attorney on Form F-X.
Concurrently with the filing
of this Registration Statement on Form F-10, Computershare Trust Company of Canada, the Canadian trustee under each of the trust
indentures filed as exhibits hereto (the “Canadian Trustee”), will file with the Commission a written irrevocable
consent and power of attorney on Form F-X.
Any change to the name or
address of the agent for service of each F-10 Registrant or the Canadian Trustee shall be communicated promptly to the Commission by
amendment of the applicable Form F-X referencing the file number of this Registration Statement.
